1. Acceptance
By signing up through the ULAN Telegram Bot or using the Mini Web App as a content creator ("Creator", "you"), you agree to these Creator Terms. If you do not agree, do not use the Platform.
2. Marketplace nature
ULAN operates a marketplace connecting businesses and brands ("Brands") with creators who produce user-generated content and related services ("Deliverables").
ULAN provides infrastructure including profiles, matching, messaging, submission tools, tracking, and payment facilitation.
The agreement to create Deliverables is between you and the Brand. ULAN is not a party to that agreement unless an Order explicitly states that ULAN is the buyer.
3. Eligibility and account
- You must be 18+ and able to enter legal agreements.
- You must provide accurate information and keep your profile updated.
- You are responsible for all activity through your Telegram account or device.
- We may refuse, limit, suspend, or terminate access to protect marketplace quality, safety, fraud prevention, legal compliance, or our legitimate business interests.
4. Orders
- Order or Campaign ("Order"): a Brand request with scope, format, requirements, deadlines, usage needs, and fee ("Order Fee").
- Acceptance: a binding agreement forms when you accept an Order, or when the Brand confirms you, depending on the Platform flow.
- Submission and revisions: you must deliver on time and follow requirements. The Brand may request reasonable revisions within scope.
5. Payments, fees, taxes
- Order Fee: shown in the Order and is your compensation unless otherwise stated.
- Platform fee or commission: ULAN may charge a marketplace fee or commission, displayed in the payout breakdown.
- Payout methods: we may support bank transfer, card transfers, local payment systems, wallets, or other available methods, and may change those options based on technical, legal, or operational constraints.
- Accuracy: you must keep payout details current.
- Taxes: you are responsible for your own taxes and reporting. We may request tax or ID information where required by law.
6. Creator standards and compliance
You must ensure Deliverables:
- comply with laws and platform rules, including disclosure rules such as "#ad", "paid partnership", and branded content tools where required
- do not infringe third-party rights including music, stock, footage, trademarks, privacy, or publicity rights
- are not illegal, hateful, harassing, or unsafe
- are truthful and not misleading, especially around product claims
We may remove Deliverables, restrict Orders, or suspend accounts for violations.
7. Intellectual property
7.1 Assignment by default
Unless the Order explicitly states otherwise, by submitting Deliverables and once the Brand accepts them, and payment is due or confirmed as completed in the Platform, you irrevocably assign and transfer to the Brand all worldwide rights, title, and interest in and to the Deliverables, including all intellectual property and related rights.
7.2 Brand usage scope
Unless restricted in the Order, the Brand may use the Deliverables in any media worldwide, including paid ads, social platforms, websites, marketplaces, and marketing channels, and may edit, crop, adapt, translate, combine, and create derivative works.
7.3 Moral rights
To the maximum extent permitted by law, you waive or agree not to enforce moral rights such as attribution or integrity if they would prevent the Brand's lawful use or edits.
7.4 No re-posting or embargo
Unless permitted by the Order or approved in writing by the Brand, you will not publish the Deliverables before the Brand posts and you will follow exclusivity or embargo requirements specified in the Order.
8. License to ULAN
To operate the Platform, you grant ULAN a non-exclusive, worldwide, royalty-free license to:
- host, store, reproduce, display, transmit, and make technical modifications to Deliverables
- show Deliverables in your creator portfolio on the Platform, including to Brands
- use Deliverables internally for trust and safety, dispute resolution, customer support, and product improvements
This license is needed even after Brand assignment because ULAN must maintain platform records and portfolio history unless legally required to delete.
9. Analytics and AI
9.1 Performance data
ULAN may collect and process performance signals such as views, clicks, engagement, and conversion signals where available, whether provided by Brands, Creators, or public sources, to improve matching, reporting, and benchmarks.
9.2 AI and model improvement
By default, you allow ULAN to use Deliverables and related performance metadata to improve Platform quality, including through training and improving recommendation and analytics models, and generating benchmarks and insights.
Where feasible, ULAN will prioritize aggregation and anonymization for benchmarking and model improvement.
If you do not want ULAN to use your Deliverables for AI or model improvement beyond operating the Platform and portfolio storage, you may request an opt-out by emailing azizullo0077@gmail.com. We will apply the opt-out going forward where reasonably feasible, though some retention may still be required for legal, safety, fraud, and accounting purposes.
10. Confidentiality
If you receive confidential information such as unreleased products, scripts, discount codes, or internal plans, you will keep it confidential and use it only to fulfill the Order.
11. Non-circumvention
For 12 months after your last interaction with a Brand introduced through ULAN, you will not knowingly solicit or accept similar work from that Brand outside ULAN for the same purpose as the Deliverables unless ULAN provides written permission.
12. Suspension and termination
We may suspend or terminate accounts for fraud, repeated missed deadlines, low-quality delivery patterns, abuse, illegal content, IP violations, or policy breaches. Where practical, we will provide notice and allow appeals via azizullo0077@gmail.com.
13. Disputes and governing law

These Terms are governed by the laws of the Republic of Uzbekistan unless mandatory laws require otherwise.
14. Changes
We may update these Terms. We will post the updated version with a new effective date. Continued use means acceptance of the revised version.
